Terms of Service

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Damodara Smart Tech Private Limited ("Company", "we", "us", or "our"). These Terms govern your access to the SettlesU platform, including any updates, features, tools, or mobile builds. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Eligibility & Account Roles

To use SettlesU, you must be at least 18 years of age or the legal age of majority in your jurisdiction. By registering, you warrant that you possess the legal capacity to enter into a binding contract. SettlesU provides two separate user streams:

• Candidates: Users seeking career growth, uploading resumes, listing professional credentials, matching with companies, and networking.
• Recruiters / Employers: Corporate representatives or recruitment professionals posting jobs, reviewing resumes, verifying candidate backgrounds, and communicating with prospects.

You agree to provide accurate, truthful, and complete details when creating your account, and you must maintain the confidentiality of your authentication details (e.g. email sign-in links and sessions). You are solely responsible for all activities occurring under your account.

3. Recruiter Verification & Corporate Security

To ensure a secure environment and verify the legitimacy of hiring organizations on SettlesU, all Recruiter accounts are subject to mandatory identity and business verification:

• Recruiters must verify their identity using a valid corporate domain email address (public or generic domains like Gmail or Yahoo are not permitted for official recruiter accounts).
• Recruiters must complete mobile number verification.
• Recruiters must provide a valid Goods and Services Tax Identification Number (GSTIN), corporate incorporation certificate, or equivalent local business registration identifier.

Damodara Smart Tech Private Limited reserves the sole right to review, approve, restrict, or reject any recruiter profile failing this verification. Verification delays or rejections do not constitute breach of contract by the Company.

4. Acceptable Conduct & Interactive System Rules

You agree that you will not use SettlesU for any unlawful purpose. You shall not upload, post, or transmit any content (including resumes, job descriptions, or message content) that:

• Contains false, misleading, or fraudulent information.
• Infringes on the intellectual property, privacy, or publicity rights of third parties.
• Contains computer viruses, trojans, malware, or other malicious payloads.
• Constitutes unsolicited advertising, junk mail, spam, or harassment.

The Platform implements a strict mutual blocking and communication gating mechanism. Once a Candidate or Recruiter blocks another user, all matching, searching, invitation, and messaging capabilities between those accounts are immediately and permanently severed, unless unblocked. Any attempt to bypass this blocking system using alternative accounts is a material breach of these Terms and will result in immediate termination.

5. SaaS Fees, Subscriptions & Payments

Certain parts of the Platform may be provided for a fee or subscription (the "SaaS Plan"). If you subscribe to a paid feature or recruiter package:

• You agree to pay all applicable fees as described at the point of purchase.
• All billing details must be accurate and valid. Payments are processed through secure third-party payment gateways.
• Unless stated otherwise, all subscriptions are billed in advance and are non-refundable.
• We reserve the right to modify pricing structures, package features, or billing cycles upon thirty (30) days' notice.

6. Intellectual Property Rights

The Platform, including its user interface, algorithms, codebase, design assets, brand names, and the "SettlesU" and "Damodara Smart Tech" logos, are the exclusive intellectual property of Damodara Smart Tech Private Limited and its licensors. We grant you a limited, non-exclusive, non-transferable, and revocable license to access the Platform solely for your personal use (for Candidates) or internal recruitment needs (for Recruiters) as permitted under these Terms.

You retain ownership of any candidate profiles, resumes, company logos, and texts you upload. However, you grant us a worldwide, royalty-free, non-exclusive license to host, display, run, and parse your uploaded content on the Platform to deliver our matching and messaging services.

7. Limitation of Liability & Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DAMODARA SMART TECH PRIVATE LIMITED MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY OF CANDIDATE PROFILES, VALIDITY OF RESUMES, LEGITIMACY OF JOB OFFERINGS, OR SYSTEM UP-TIME.

IN NO EVENT SHALL DAMODARA SMART TECH PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES arising from your use of the Platform.

8. Account Deletion & Data Purging Procedure

We respect your right to control your personal data. You can request the permanent deletion of your account and all associated profile information, resumes, and communications at any time:

• You may submit an account deletion request through the dedicated settings page in the application (where available) or by emailing us directly.
• All data deletion requests must be sent from the registered email address associated with the account to either contact@damodarastech.com or damodarasmarttech@gmail.com.
• Upon receiving a valid request, we will verify your identity and purge your personal data, resumes, and profiles from our production databases within thirty (30) business days, subject to legally required retention policies.

9. Suspension & Termination

We reserve the right, in our sole discretion and without prior notice, to suspend, terminate, or restrict your access to all or part of the SettlesU platform for any reason, including but not limited to, breach of these Terms, failure of recruiter verification, fraudulent activity, or behavior detrimental to other users.

10. Governing Law & Dispute Resolution

These Terms, and any dispute arising from them, shall be governed by and construed in accordance with the laws of India, without reference to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms must be instituted exclusively in the competent courts located in Hyderabad, Telangana, India.
